Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using the Smart Agents website (smart.agent.net.ai) and the Smart Agents application for Microsoft Dynamics 365 Business Central ("Service"), operated by QUALIA Technik GmbH ("we", "us", "our").

By accessing the website or installing the Service, you agree to be bound by these Terms. If you do not agree, do not use the website or Service.

1. Definitions

  • "Smart Agents" — the AI assistant application for Microsoft Dynamics 365 Business Central, published on Microsoft AppSource by QUALIA Technik GmbH.
  • "Credits" — the unit of consumption used to meter Smart Agents usage. 1 Credit = €0.01.
  • "Tenant" — your Microsoft Dynamics 365 Business Central tenant, including all environments and companies within it.
  • "User" — any individual who accesses Smart Agents through any supported channel.

2. Service Description

Smart Agents provides AI assistants that operate within Microsoft Dynamics 365 Business Central. Agents can execute business operations (reports, transactions, document generation, data queries) across four channels: Business Central, Microsoft Teams, Web chat, and Email.

The Service is free to install. Usage is metered through Credits, which are consumed when agents execute tool calls.

3. Registration and Free Credits

Upon first registration, every tenant receives 1,000 free Credits (equivalent to €10.00). These credits are intended for testing and evaluation. No credit card or payment information is required to begin using the Service.

Free credits do not expire, but QUALIA Technik GmbH reserves the right to modify this policy with 30 days' notice.

4. Credits and Payment

4.1 Credit Pricing

1 Credit = €0.01 (one euro cent). Credit consumption depends on the complexity of the agent task and the AI model tier selected.

4.2 Payment Methods

Credits can be purchased through:

  • Credit card via Stripe — instant top-up with immediate credit availability
  • Microsoft AppSource SaaS subscription — metered billing through your existing Microsoft billing relationship

4.3 Refunds

Purchased credits are non-refundable once consumed. Unused credits may be refunded within 14 days of purchase upon written request submitted through the Contact Us form.

4.4 Shared Credits

All environments and companies within a single Business Central tenant share the same credit balance and backend.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Transmit harmful, fraudulent, or deceptive content through agents
  • Attempt to circumvent credit metering, security controls, or audit logging
  • Reverse-engineer, decompile, or extract source code from the Service
  • Use the Service in ways that could harm other users or the infrastructure
  • Resell access to the Service without a valid partner agreement

6. Security and Permissions

Smart Agents operates under strict security controls:

  • Agents inherit the identity and permissions of the invoking user
  • Tool scoping limits what each agent can execute
  • Autonomy levels control how much freedom agents have
  • Every tool call is logged with full audit trail

You are responsible for configuring appropriate permission scopes and autonomy levels for your agents. QUALIA Technik GmbH is not liable for actions executed by agents that were authorized by your users or administrators.

7. Data Processing

Business data remains in your Business Central tenant. Only redacted, minimized tool outputs are sent to the Smart Agents backend for AI processing. For full details, see our Privacy Policy.

8. Intellectual Property

All materials, software, documentation, and branding related to Smart Agents are the property of QUALIA Technik GmbH. You may not reproduce, redistribute, or create derivative works without written permission.

Content and data you process through the Service remain your property. We do not claim ownership over your business data or agent configurations.

9. Partner SDK

Partners using the Smart Agents SDK to build vertical AI solutions must comply with additional partner terms. Partner SDK access is subject to approval and a separate partner agreement.

10. Availability and Support

We aim to provide high availability for the Smart Agents backend but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • QUALIA Technik GmbH is not liable for indirect, incidental, or consequential damages arising from use of the Service
  • Our total liability shall not exceed the amount of Credits purchased by you in the 12 months preceding the claim
  • We are not liable for the accuracy, completeness, or appropriateness of AI-generated responses or actions

You acknowledge that AI outputs should be reviewed by qualified personnel before being relied upon for business decisions.

12. Indemnification

You agree to indemnify and hold harmless QUALIA Technik GmbH, its directors, officers, and employees from any claims, damages, or expenses arising from your use or misuse of the Service.

13. Termination

You may stop using the Service at any time by uninstalling the application from AppSource.

We reserve the right to suspend or terminate access if you violate these Terms, with reasonable notice where circumstances permit.

14. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. The courts of Köln, Germany shall have exclusive jurisdiction over any disputes arising from these Terms.

15. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated through website notices at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
